1. About these Terms
These Terms and Conditions (Terms) set out the agreement between you and Bren Casipit trading as "Private IGNITE Tutoring" (ABN 49 294 393 622) of Adelaide, South Australia (we, us, our, the Company).
They apply when you:

enquire about or book tutoring with us;
-
attend tutoring sessions arranged by us;
-
enrol in the IGNITE & Selective Entry Online Program; or
-
use our website at privateignitetutoring.com.au.

1.1 Relationship with the Client Services Agreement
Before your first session, we ask every family to sign our Client Services Agreement. That signed agreement governs your tutoring engagement.

These Terms apply to your use of our website, your enquiry, the free assessment call, and the Online Program.

Where you have signed a Client Services Agreement, that agreement governs your tutoring sessions. If there is any inconsistency between these Terms and your signed Client Services Agreement in relation to tutoring sessions, the Client Services Agreement prevails.

The Online Program is governed by these Terms, as the Client Services Agreement does not cover it.

Our Privacy Policy forms part of both.
1.2 Definitions

Client or you means the parent, guardian or adult student who engages us. Where the student is under 18, the parent or guardian is the Client and is responsible for these Terms.

Student means the person receiving tutoring.
-
Tutor means an independent contractor engaged by us to deliver tutoring, or our IGNITE Specialist.
-
Services means the tutoring services we arrange and coordinate, the Online Program, and related materials and reports.
By booking a session, enrolling in the Online Program, or making a payment, you agree to these Terms.
2. Our services and our role
Private IGNITE Tutoring arranges and coordinates tutoring services for clients in South Australia. Sessions are delivered by qualified independent contractor tutors allocated by us. Except where a session is delivered personally by our IGNITE Specialist, the Company acts as the organising agency rather than the direct provider of tutoring instruction.
Our services to you include:

matching the Student with a suitable Tutor based on subject, year level, location and availability;
-
coordinating the scheduling of sessions;
-
managing all invoicing and payment processing;
-
managing Tutor compliance — Working With Children Check, National Police Check and insurance;
-
providing ongoing support and communication.
We provide:
-
One-on-one academic tutoring for Reception to Year 12 in Mathematics, English, Science and related subjects, in person across metropolitan Adelaide or online.
-
IGNITE and selective-entry exam preparation, delivered in person by our IGNITE Specialist.
-
The IGNITE & Selective Entry Online Program, a self-paced online course of pre-recorded lessons, practice material, quizzes and mock tests.
Nothing in this clause limits the consumer guarantees that apply to us under the Australian Consumer Law in respect of the services we supply to you (see clause 12).
2.1 Free assessment call
We offer a free, obligation-free assessment call of approximately 15 minutes to discuss the Student's needs. Nothing discussed on that call binds either party until a session is booked or an enrolment is paid for.
3. Sessions and scheduling

Sessions are delivered either in person at your nominated address (or another agreed venue such as a local library), or online via an agreed platform such as Zoom or Google Meet.

Standard session length is 60 minutes, unless otherwise agreed in writing before the session.

A booking is confirmed once we have agreed a date, time and location with you in writing (including by SMS, email or messaging app) and payment for that session has been received.

We allocate a Tutor based on suitability. If you wish to request a different Tutor, we will endeavour to accommodate this, subject to availability.

We do not guarantee that the same Tutor will be available for every session. If your regular Tutor is unavailable, we will give reasonable notice and arrange an alternative Tutor where possible. If you do not wish to proceed with a substitute Tutor, you may decline that session at no charge.

Sessions begin and end at the scheduled times. If a Student is late, the session will still finish at the scheduled end time and the full fee applies. If the Tutor is late, the session will be extended where practicable, or the fee reduced proportionately.

We cannot guarantee Tutor availability in every Adelaide suburb. If we cannot service your area in person, we will tell you and may offer online sessions instead.
4. Fees and payment
4.1 Current rates
-
General tutoring, in-home — $80 per 60-minute session. All subjects, Reception to Year 12.

General tutoring, online — $80 per 60-minute session. All subjects, Reception to Year 12.

IGNITE & Selective Entry preparation — $100 per 60-minute session. Delivered by our IGNITE Specialist only.
-
IGNITE & Selective Entry Online Program — $4,000 one-off. Payment plans available.
All amounts are in Australian dollars and include GST where GST applies. Rates shown on our website are indicative starting rates; a higher rate may apply for specialised or senior subjects, extended travel, or intensive sessions. The rate that applies to you is the rate confirmed in writing in your Client Services Agreement.
4.2 Payment terms

Payment for tutoring sessions is due weekly, in advance of each session. We recommend setting up a recurring weekly bank transfer so your Student's reserved timeslot remains secure.

Payment is made by direct bank transfer to the account set out in your Client Services Agreement, using the Student's full name as the payment reference. We accept bank transfer because it is fee-free — it avoids the payment processing fees (approximately 2%) that online payment providers charge, which keeps tuition fees lower.

Your booking is confirmed once payment has been received. For your first payment, please email or message us confirmation after transferring.

All payments must be made to Private IGNITE Tutoring directly. You must not make payment directly to an individual Tutor. Tutors are contractually prohibited from accepting direct payment, cash or alternative compensation from clients. Any direct payment to a Tutor is not recognised under these Terms and does not discharge your obligation to pay us.

Security. Our bank account details do not change. If you receive a message that appears to be from us advising of new or different account details, do not pay it — call us on 0481 136 457 to verify first.
4.3 Late payment
-
Late payments may incur a late fee of $10 per week after the due date, at our discretion.

We may pause or cancel tutoring services where fees remain unpaid for more than 7 days after the due date. We will notify you before doing so.

On termination, all outstanding fees become immediately due and payable. We may recover reasonable costs of recovering an overdue debt.
4.4 Online Program payment
Access is granted once payment, or the first instalment under an agreed payment plan, is received and cleared. If an instalment remains unpaid for more than 14 days after its due date, we may suspend access until the account is brought up to date. We will give you at least 7 days' written notice before suspending access.
4.5 Price changes
We may review our rates from time to time. We will give existing clients at least 30 days' written notice of any increase. If you do not wish to continue at the new rate, you may end your engagement before the new rate takes effect, at no cost. Price changes do not affect a course already paid for in full.
5. Cancellations, rescheduling and missed sessions
We understand that plans change. This policy is designed to be fair to both families and Tutors, who reserve time and travel for each booking.

24 hours' notice or more — no charge. We will reschedule to a mutually convenient time where possible.

Less than 24 hours' notice — up to 50% of the session fee, at our discretion, to cover the Tutor's reserved time.
-
Less than 2 hours' notice, or a no-show — up to the full session rate.
-
Where a Tutor has travelled to the agreed location and the Student is not available, the Tutor will wait 15 minutes before leaving.

Illness and genuine emergencies: cancellation fees will be assessed reasonably at our discretion. Where a cancellation results from illness, a family emergency or another circumstance genuinely beyond your control, we will normally waive the fee. Please tell us as soon as you can.

Cancellation by us: if we or the Tutor cancel a session, you will be notified as soon as practicable and the session will be rescheduled at no additional charge.

Any prepaid amount for a session that is cancelled without charge will be credited to your next session or refunded, as you prefer.

6. The Online Program
-
Licence and access period. On payment, we grant the Student a personal, non-exclusive, non-transferable, revocable licence to access and use the Online Program materials for the Student's own study for 12 months from the date access is granted.

One Student per enrolment. Login details must not be shared. The licence covers one Student. Sharing access, or copying, recording, downloading, redistributing, reselling or publishing any part of the Program, is a breach of these Terms and of our copyright, and may result in access being terminated without refund.

Availability. We aim to keep the Program available at all times, but access may be interrupted for maintenance, platform outages or reasons beyond our control. We will restore access as soon as reasonably practicable. Where an outage materially affects your access, we may extend the 12-month access period by an equivalent period.

Changes to content. We may update, improve or replace modules over time. We will not materially reduce the substance of the Program during your access period.
6.1 Readiness Guarantee
We offer the following guarantee in respect of the Online Program. It is in addition to, and does not limit, your rights under the Australian Consumer Law.
(a) Preparation support. If the Student completes every module and all mock exams in the Program and still does not feel fully prepared for the IGNITE exam, we will provide, at no charge:
-
personalised feedback worksheets; and
-
one free 1-hour one-on-one review session with our IGNITE Specialist (valued at $100).
(b) 25% fee refund. If the Student completes the full Program and is not offered admission into the IGNITE Program, we will refund 25% of the course fee.
Conditions. To claim under (a) or (b):
-
the Student must have completed all modules and all mock exams within the Program platform, as recorded by the platform;
-
the claim must be made in writing to privateignitetutoring@gmail.com within 60 days of the IGNITE exam results being released;
-
for a claim under (b), you must provide evidence that the Student sat the IGNITE assessment and was not offered a place;
-
approved refunds are paid to the original payer by bank transfer within 14 days of approval.
We will not unreasonably refuse a claim that meets these conditions.
6.2 Refunds for the Online Program
Because the Program is digital content delivered immediately on payment, we do not offer change-of-mind refunds once access has been granted. This does not affect:
-
the Readiness Guarantee above; or
-
your rights under the Australian Consumer Law, including your right to a remedy if the Program is not of acceptable quality, does not match its description, or is not fit for the purpose we said it was fit for.
If you believe there is a problem with the Program, contact us and we will work with you to resolve it.
7. No guarantee of results
Tutoring supports a Student's learning. It cannot guarantee an outcome.

We do not guarantee any particular mark, grade, ATAR, test score, scholarship, or admission into the IGNITE Program or any other selective-entry or scholarship pathway. Admission decisions are made solely by the relevant school, program or authority, applying their own criteria, and are entirely outside our control.

Statements on our website about past experience — for example the number of students we have helped prepare for selective entry, or timeframes in which families typically see improvement — describe our past experience and general observations. They are not a promise or prediction about any individual Student's results.

Results depend on many factors we do not control, including the Student's engagement, completion of set homework, attendance, school environment and the performance of other candidates.
Nothing in this clause limits any right you have under the Australian Consumer Law, including the guarantee that services will be rendered with due care and skill.
8. Your responsibilities
You agree to:
-
Have the Student ready and available at the agreed time for each session.
-
Provide a suitable, safe and appropriate space for in-home sessions — a desk or table, adequate lighting, and an environment free of obvious hazards. You must tell us of any hazard at the premises, including any animal that may pose a risk. Tutors conduct a basic visual risk assessment before each in-home session and have an absolute right to suspend or end a session and leave if they feel unsafe or the environment is hostile, inappropriate or a risk to their health and safety.

Ensure adult supervision. For any in-home or online session involving a Student under 18, a parent, guardian or responsible adult authorised by the parent or guardian must be present in the home or immediate vicinity for the entire duration of the session. Tutors are contractually prohibited from acting as the sole supervisor of a minor and must refuse to commence or continue a session if no responsible adult is present. Where a session cannot proceed for this reason, the full session fee may be charged. For online sessions, we ask that the Student work in a common area of the home.

Provide accurate information about the Student — year level, school, subjects, learning goals, and any learning need, disability, medical condition or behavioural matter relevant to the Student's safety or the delivery of sessions.

Ensure the Student brings relevant schoolwork and materials, and makes reasonable efforts to complete set homework. For online sessions, ensure the Student has a working device and stable internet connection.

Notify us promptly of any concern about a Tutor or a session, at privateignitetutoring@gmail.com or 0481 136 457.
-
Pay all fees within the agreed weekly timeframe.
-
Treat Tutors with respect. Abusive, threatening, discriminatory or inappropriate behaviour toward a Tutor is grounds for immediate termination of your engagement. Fees for a session ended on that basis remain payable.

Not circumvent the Company — see clause 9.
You are also encouraged to maintain your own home and contents insurance covering third-party visitors where in-home tutoring is conducted.
9. Non-circumvention

You acknowledge that we invest significant resources in recruiting, vetting, training and managing Tutors.

You agree not to directly engage, hire or pay any Tutor introduced to you through Private IGNITE Tutoring, for tutoring or related services independently of the Company, either during your engagement or for a period of 12 months after the last session arranged through us.

If you wish to engage a Tutor independently after your engagement ends, this may be arranged with our written consent and subject to a placement fee to be agreed at the time. We will consider any such request in good faith.

A breach of this clause may result in a liquidated damages charge equal to the total session fees that would have been payable for 12 weeks of tutoring at the then-current rate for the relevant Student, representing a genuine pre-estimate of our loss of future income and recruitment costs, and not a penalty.
10. Safety, compliance and our Tutors

Every Tutor engaged by us holds a valid, current South Australian Working With Children Check and has provided a satisfactory National Police Check. We verify both before any Tutor commences work, and Tutors must notify us within 24 hours if their clearance is suspended, cancelled or expires.

Tutors are engaged under a written Independent Contractor Agreement and are required to hold public liability insurance and professional indemnity insurance.

Tutors are selected on academic merit — a minimum ATAR of 90 — and on communication ability, and are personally vetted by us.

Tutors are required to maintain professional boundaries, not to act as the sole supervisor of a minor, and not to transport Students in a vehicle.
-
Tutors are required to report any reasonable suspicion that a child is at risk of harm directly to the relevant statutory authority, in accordance with South Australian child protection law, and then to notify us. See our Privacy Policy for how this affects information handling.

A Tutor may delegate a session to another qualified individual only with our prior written consent, and only where that person holds a current Working With Children Check and satisfactory National Police Check and has agreed in writing to the same confidentiality and child-safety obligations.

You will receive a progress update after each session covering topics covered, areas of improvement, skills requiring further practice, and recommended revision.
-
You are responsible for the safety of your home environment during in-home sessions. We are not liable for injury, damage or loss occurring at your premises that is not caused by a Tutor's negligence or misconduct.
11. Intellectual property and confidentiality

All worksheets, practice tests, mock exams, video lessons, quizzes, curriculum documents, teaching materials and website content that we produce or commission remain our intellectual property (or that of our licensors) and are protected by the Copyright Act 1968 (Cth).

You and the Student may use these materials for the Student's own personal study only.
-
You must not copy, record, screenshot, download, share, distribute, publish, sell, or use our materials to train any automated or artificial intelligence system, or use them to deliver tutoring to any other person, without our prior written consent.

Any feedback, progress report or written work we prepare specifically for a Student is provided for that Student's personal use.
-
Session content between a Tutor and a Student is confidential. Tutors are contractually prohibited from sharing student information outside our engagement framework.

If you provide a testimonial or review, you grant us permission to publish it on our website and social media using the first name or initials you approve. You may withdraw that permission at any time by contacting us.
12. Australian Consumer Law
Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law (Schedule 2 to the Competition and Consumer Act 2010 (Cth)).
For services, you are entitled to:
-
cancel your service contract with us, and to a refund for the unused portion, or to compensation for its reduced value, for a major failure; and
-
compensation for any other reasonably foreseeable loss or damage.
If the failure is not major, you are entitled to have the problem fixed within a reasonable time, and if it is not fixed, to cancel the contract and obtain a refund for the unused portion.
Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy that applies to you under the Australian Consumer Law or any other law that cannot lawfully be excluded.
13. Limitation of liability
Subject to clause 12:

While we take care in vetting Tutors, we do not guarantee specific academic outcomes or results for any Student.
-
To the maximum extent permitted by law, our liability for any claim arising from the Services is limited to the total fees you paid us in the 3 months before the claim.
-
To the maximum extent permitted by law, we are not liable for indirect, consequential or special loss, including loss of academic opportunity, loss of a scholarship or placement, or failure to achieve specific results.
-
We are not responsible for the supervision or care of a Student outside scheduled session times, or for a Student's safety at any venue we do not control.
-
Nothing in these Terms limits liability for death or personal injury caused by our negligence, or for fraud, to the extent that liability cannot lawfully be limited.
14. Termination

Either party may terminate an ongoing tutoring engagement by giving the other 14 days' written notice.

We may terminate immediately and without notice if you:
-
breach clause 9 (Non-Circumvention);
-
fail to pay outstanding fees after reasonable notice;
-
breach clause 6.1 or 6.2 (Online Program access and licence) or clause 11 (Intellectual property); or
-
if you, or any person at your premises, behave in a manner that is unsafe, abusive or threatening toward a Tutor.

On termination, all outstanding fees become immediately due and payable. Any amount you have prepaid for sessions not delivered will be refunded, unless we terminated for your breach of clause 9, 6.1, 6.2 or 11.
15. Dispute resolution

If a dispute arises, please first attempt to resolve it informally by contacting us at privateignitetutoring@gmail.com.

If the dispute is not resolved within 14 days, either party may refer the matter to mediation before a mutually agreed mediator, in Adelaide, South Australia, before commencing legal proceedings. The parties share the mediator's fees equally and bear their own costs.

Nothing in this clause prevents a party from seeking urgent injunctive or interlocutory relief at any time, or limits your right to complain to a regulator or consumer protection body.
16. Privacy
We collect and handle personal information about parents, guardians and Students in order to arrange and deliver the Services. How we do this is set out in our Privacy Policy, available at privateignitetutoring.com.au, which forms part of these Terms.
By engaging us, you confirm you have read the Privacy Policy and, where you provide a Student's information, that you are authorised to do so.
17. Website use

Our website is provided for general information. While we take care to keep it accurate and current, we do not warrant that all content is complete, accurate or up to date at all times.

Content on our website is general in nature and is not personal educational, career or academic advice. Decisions about a Student's subject selection, school pathway or exam entry should be made having regard to the Student's own circumstances and, where appropriate, advice from their school.

Our website may link to third-party websites. We do not control and are not responsible for their content or privacy practices.
18. General

Changes to these Terms. We may update these Terms from time to time. The current version will be published on our website with its effective date. Where a change materially affects an ongoing engagement, we will give at least 30 days' written notice, and you may terminate under clause 14 at any time before the updated terms take effect, without incurring any additional fee for doing so. Continued use of the Services after that date constitutes acceptance of the updated Terms.

Entire agreement. These Terms, together with our Privacy Policy and your signed Client Services Agreement, form the whole agreement between us in relation to the Services.

Severability. If any provision is found to be void, unenforceable or unfair, it is severed and the remaining provisions continue in full force.

No waiver. A failure by us to enforce a provision is not a waiver of our right to enforce it later.

Assignment. You may not transfer your rights under these Terms without our written consent. We currently operate as a sole trader and may in future transfer the operations of Private IGNITE Tutoring to a company or other entity, restructure, or sell all or part of the business. We may assign or novate our rights and obligations to such an entity, provided it agrees in writing to assume our obligations and we give you written notice.

Force majeure. Neither party is liable for failing to perform an obligation due to an event beyond its reasonable control, including illness, extreme weather, public health directions, or utility or internet failure. Affected sessions will be rescheduled or refunded.

Governing law. These Terms are governed by the laws of South Australia, Australia. The parties submit to the non-exclusive jurisdiction of the courts of South Australia.
